1. About these terms
These terms govern your use of GORDX, an invoicing and payment collection service. By creating an account or using GORDX, you agree to them on behalf of your business.
- GORDX is provided by Gordon Corporation Ltd, a company registered in England and Wales with company number 17470403, whose registered office is at 27 Cromer Avenue, Grimsby, DN34 5ED ("we", "us", "our").
- You can contact us at [email protected].
- GORDX is for business use only. You confirm that you are using it for your trade, business or profession, and not as a consumer. Consumer protection laws that apply only to consumers therefore do not apply to these terms.
- If you accept these terms for a company or other organisation, you confirm you have authority to bind it.
- These terms take effect from 26 September 2026.
2. Definitions

3. Your account
- You must be at least 18 and give accurate, complete business details when you sign up, and keep them up to date.
- You are responsible for keeping your login details secure and for everything done through your Account.
- Tell us straight away at [email protected] if you think someone has accessed your Account without permission.
- One Account is for one business. You may not share, sell or transfer your Account without our written agreement.
4. The service and plans
- GORDX lets you create and send invoices, collect card payments through Stripe, track what you are owed and send payment reminders.
- The features included in each Plan are described on gordoncorp.uk. Features marked "coming soon" are not part of your Plan until we release them, and we do not promise release dates.
- We may offer a free preview or trial. We can end a free preview at any time; to keep using GORDX after it ends, you will need a paid Plan.
- We may improve or change the Service. We will not remove a core feature of your paid Plan without giving you at least 30 days' notice.
- GORDX is a software tool. It does not give accounting, tax, legal or financial advice. You remain responsible for your own accounts, VAT and tax filings, and for checking that your invoices are correct.
5. Fees, billing and cancellation
- Paid Plans are billed monthly in advance at the price shown when you subscribe. Prices exclude VAT, which we will add if and when we are required to charge it.
- Your subscription renews automatically each month until you cancel. We take payment from the card you give us, through Stripe.
- You can cancel at any time from Settings → Manage billing. Cancellation takes effect at the end of the current billing month, and you keep access until then.
- Fees already paid are not refundable, except where the law requires a refund or we decide to give one.
- If a payment fails, we will let you know and may suspend paid features until it is paid.
- We may change our prices by giving you at least 30 days' notice by email. The new price applies from your next billing month after the notice ends. If you do not agree, you can cancel before then.
- GORDX fees are separate from Stripe's card processing fees (see section 6).
6. Card payments through Stripe
- To take card payments from Your Customers, you connect your own Stripe account to GORDX. Payment processing is provided by Stripe, not by us, and is subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. You agree to those terms when you connect.
- We never hold or handle your money. Payments from Your Customers go directly to your Stripe account and are paid out to your bank by Stripe.
- Stripe charges its own processing fees, which Stripe takes directly from your payments.
- You are the seller for every invoice you send. You are responsible for refunds, chargebacks and disputes with Your Customers.
- You authorise us to share your business details with Stripe, and to receive information from Stripe about your account and payments, so that GORDX can create payment links and mark invoices as paid.
7. Your responsibilities and acceptable use
You are responsible for how you use GORDX and for the invoices you send. You must not use GORDX to:
- invoice for goods or services you have not supplied or agreed to supply, or otherwise mislead anyone;
- send spam, harassing messages, or emails to people who have no business relationship with you;
- break any law, including consumer, data protection, anti-money-laundering or sanctions law;
- sell anything that Stripe's restricted businesses list prohibits;
- try to access other businesses' data, probe or break our security, or overload the Service;
- copy, resell or reverse-engineer the Service.
You are responsible for making sure your invoice details are accurate, including prices, VAT and your legal business information.
8. Emails sent on your behalf
- When you send an invoice or reminder, GORDX emails it to Your Customer from a GORDX address in your business's name, with replies going to the email address in your business profile.
- You confirm you have a genuine business relationship with each person you email through GORDX and are allowed to contact them about payment.
- We may add a short line to these emails saying they were sent with GORDX.
- We may pause sending if emails are bouncing, being reported as spam, or breach section 7.
9. Your data and data protection
- You own your Customer Data. You give us permission to store and use it only to provide, secure and improve the Service.
- For Customer Data that is personal data (for example, Your Customers' names and emails), you are the controller and we are your processor under UK data protection law. The data processing terms in Schedule 1 apply.
- For personal data about you and your team (such as your login and billing details), we are the controller. Our Privacy Policy explains how we use it.
- You can delete Customer Data in GORDX at any time, and ask us for a copy of it by emailing [email protected]. After your Account closes, we delete Customer Data within 90 days, except records we must keep by law.
- We use reasonable technical and organisational measures to protect your data, including encryption in transit and access controls that keep each business's data separate.
10. Availability and support
- We aim to keep GORDX available at all times, but we do not guarantee it will be uninterrupted or error-free. We may pause it for maintenance, ideally with advance notice.
- GORDX relies on third-party services, including Stripe, Supabase, Cloudflare and Resend. We are not responsible for their outages.
- Support is by email at [email protected]. We aim to reply within two working days.
11. Intellectual property
- We own GORDX, including its software, design and the GORDX name. These terms give you a non-exclusive, non-transferable right to use it for your business while your Account is active.
- If you send us feedback or ideas, we may use them without any obligation to you.
12. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
- Neither of us is liable to the other for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss.
- We are not liable for unpaid or late invoices, for payments or disputes handled by Stripe, or for errors in invoices you create.
- Our total liability to you in any 12-month period is limited to the fees you paid us in the 12 months before the claim arose.
- Apart from what these terms expressly say, the Service is provided without any other warranties, as far as the law allows.
13. Suspension and termination
- You can stop using GORDX and close your Account at any time by cancelling your Plan and emailing [email protected].
- We may suspend or close your Account immediately if you seriously or repeatedly break these terms, fail to pay, or use GORDX in a way that could harm us, Your Customers, Stripe or other users.
- We may also close your Account for any other reason by giving you at least 30 days' notice. If we do, we will refund any fees you paid for the period after closure.
- When your Account closes, your right to use GORDX ends. Your Stripe account is yours and is not affected. Sections 9, 11, 12 and 15 continue to apply.
14. Changes to these terms
We may update these terms from time to time. For significant changes, we will email you at least 30 days before they take effect. If you keep using GORDX after that date, the new terms apply. If you do not agree, you can cancel before they take effect.
15. General
- These terms, with any Plan details and our Privacy Policy, are the whole agreement between us about GORDX.
- Neither of us is liable for delays caused by events outside reasonable control.
- You may not transfer your rights under these terms without our consent. We may transfer ours to another company that takes over GORDX, and will tell you if we do.
- If a court finds any part of these terms unenforceable, the rest still applies.
- Only you and we have rights under these terms; no one else can enforce them.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
Schedule 1: Data processing terms
This schedule applies when we process personal data in Customer Data on your behalf, as required by Article 28 of the UK GDPR.

We will:
- process the personal data only on your documented instructions, which are these terms and your use of GORDX, unless the law requires otherwise;
- make sure anyone who processes it is bound by confidentiality;
- keep it secure with appropriate technical and organisational measures;
- use only sub-processors bound by equivalent data protection terms. You authorise our current sub-processors: Supabase (database and hosting), Cloudflare (hosting and email routing), Resend (email sending) and Stripe (payments). We will tell you before adding or replacing one, and you may object;
- help you respond to requests from individuals exercising their data protection rights, and with your security, breach and impact-assessment obligations;
- tell you without undue delay after becoming aware of a personal data breach affecting your data;
- delete or return the personal data when the Service ends, unless the law requires us to keep it;
- give you the information you reasonably need to show compliance with Article 28, and allow reasonable audits on 30 days' notice;
- only transfer the personal data outside the UK where appropriate safeguards are in place, such as adequacy regulations or the UK International Data Transfer Addendum.
